These Terms of Service (“Terms”) govern your access to and use of the Wiretap platform and services (“Service”) provided by [COMPANY NAME], a Delaware corporation (“Wiretap,” “we,” “us,” or “our”). 1. The Service

Wiretap is a B2B sales intelligence tool. You provide us with competitor website URLs and an Ideal Customer Profile (“ICP”) — including job titles, industries, company sizes, and any additional context you choose to share. We monitor relevant public activity and deliver a daily digest of potential leads matching your ICP to your inbox each morning.

We do not disclose the specific methodology by which we source or surface leads. All lead sourcing is proprietary. What we deliver is the output: a curated list of potential leads in CSV format, emailed to you daily.

2. Eligibility

To use Wiretap, you must:

  • Be at least 18 years old
  • Be using the Service for legitimate business purposes only
  • Have the legal capacity to enter into a binding agreement
  • Not be located in a jurisdiction where using the Service would be prohibited by law

By creating an account, you confirm that you meet these requirements.

3. Account Registration

You must create an account to use the Service. You agree to:

  • Provide accurate and complete registration information
  • Keep your password secure and not share it with others
  • Notify us promptly if you suspect unauthorized access to your account
  • Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that appear to be used fraudulently or in violation of these Terms.

4. Subscriptions and Payment

4.1 Billing

Access to Wiretap requires a paid subscription. Subscription fees, billing cycles, and available plans are described on our pricing page at thewiretap.io/pricing. We may update our pricing from time to time; changes will be communicated in advance and will not affect your current billing period.

4.2 Paddle as Merchant of Record

All billing, payment processing, subscription management, and tax collection is handled by Paddle.com Market Limited (“Paddle”), which acts as the Merchant of Record for all Wiretap subscriptions. When you purchase a subscription to Wiretap, your contract for payment is with Paddle, and Paddle's own terms and policies apply to the transaction. We never receive or store your payment card details.

Paddle handles: payment processing and collection; tax calculation and remittance (including VAT, GST, and sales tax where applicable); invoicing and receipts; subscription management and renewals.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize Paddle to charge your payment method on a recurring basis.

4.4 Price Changes

We may change subscription pricing at any time. We will give you reasonable advance notice of any price change. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [SUPPORT EMAIL]. Cancellation is managed through Paddle. Your access to the Service will continue until the end of your current billing period, after which it will not renew.

5.2 Refunds

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Use the leads delivered by Wiretap to send spam, unsolicited bulk messages, or communications that violate applicable anti-spam laws (including CAN-SPAM, CASL, and GDPR)
  • Attempt to reverse-engineer, scrape, or extract data from the Wiretap platform
  • Use the Service to harass, stalk, or harm any individual
  • Resell, sublicense, or redistribute the Service or its outputs without our written consent
  • Use automated tools to access the Service in a way not intended or authorized by us
  • Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

7. Lead Data and Your Responsibilities

7.1 Nature of Lead Data

Wiretap delivers lists of potential business leads (“Lead Data”) to your inbox. This Lead Data includes information sourced from publicly available sources, such as professional profiles and publicly accessible business information. Lead Data may include names, job titles, company names, and professional contact information.

7.2 Your Responsibility for Use of Lead Data

You are solely responsible for how you use the Lead Data we deliver to you. You must:

  • Comply with all applicable laws governing the use of personal data and business contact information, including but not limited to GDPR, CCPA, CAN-SPAM, and CASL
  • Use Lead Data only for legitimate business development and sales outreach
  • Respect individuals' rights to opt out of communications and honor such requests promptly
  • Not use Lead Data in any way that is deceptive, harassing, or unlawful

We make no warranty that the Lead Data is accurate, complete, or current. We provide it on an “as is” basis. You should verify leads before relying on them for important business decisions.

7.3 Indemnification for Lead Use

You agree to indemnify and hold harmless Wiretap from any claims, damages, fines, or penalties arising from your use of Lead Data in violation of applicable law or these Terms.

8. Intellectual Property

8.1 Our Property

The Wiretap platform, software, algorithms, processes, trademarks, logos, and all content we create are owned by or licensed to us and are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business purposes during your subscription period.

8.2 Your Content

You retain ownership of any content or data you provide to us, including competitor URLs and ICP definitions (“Customer Inputs”). By providing Customer Inputs, you grant us a limited license to use them solely for the purpose of operating the Service on your behalf. We do not use your Customer Inputs to improve the Service for other customers or share them with third parties, except as necessary to provide the Service.

9. Data Protection and Controller Responsibilities

9.1 Independent Controllers

Wiretap processes Lead Data as an independent data controller. We determine the sources, scope, and methodology of Lead Data collection independently of any individual customer. When we deliver Lead Data to you, you become an independent data controller of that data for the purposes of your own use of it.

This means: Wiretap and you are not joint controllers, and Wiretap is not your data processor in respect of Lead Data; you are solely responsible for establishing your own lawful basis under applicable data protection law for any further processing of Lead Data you carry out; and each party is independently responsible for compliance with applicable data protection law in relation to their own processing activities.

9.2 Customer Data Protection Obligations

By using the Service, you represent and warrant that you will process Lead Data in compliance with all applicable data protection and privacy laws, including GDPR, UK GDPR, CCPA, CAN-SPAM, CASL, and any other applicable law; before contacting any individual whose data you have received via the Service, you will ensure you have a lawful basis for doing so; you will honour any opt-out or unsubscribe requests from individuals promptly; and you will not use Lead Data in any jurisdiction where doing so would violate applicable law.

9.3 Data Processing Addendum

Customers who require a formal Data Processing Addendum (“DPA”) may request one by contacting us at [LEGAL/SUPPORT EMAIL]. We will provide a DPA on request.

10. Confidentiality

You acknowledge that Wiretap's sourcing methodology, algorithms, and operational processes are proprietary and confidential. You agree not to disclose, reverse-engineer, or attempt to replicate Wiretap's methodology based on your use of the Service.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; that the Service will be uninterrupted, error-free, or secure; that Lead Data will be accurate, complete, current, or suitable for your purposes; and that the Service will meet your specific business needs. Your use of the Service is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Wiretap and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, goodwill, or business opportunities; damages arising from your use or inability to use the Service; or damages arising from any Lead Data delivered through the Service.

In no event will our total liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the total amount you paid to us in the three months preceding the claim, or (b) one hundred US dollars (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Wiretap and its officers, directors, employees, agents, and successors from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service in violation of these Terms; your use of Lead Data in violation of applicable law; your violation of any third party's rights; or any misrepresentation you make in connection with your account.

14. Termination

14.1 By You

You may terminate your use of the Service at any time by canceling your subscription and deleting your account.

14.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or for any other reason at our discretion. If we terminate your account without cause, we will provide a pro-rata refund for any prepaid subscription period.

14.3 Effect of Termination

Upon termination, your license to use the Service ends immediately. We may delete your account data in accordance with our Privacy Policy. Sections 7, 8, 9, 11, 12, 13, 14, and 16 survive termination.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or related to these Terms or the Service will first be subject to good-faith negotiation. If not resolved within 30 days, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association (“AAA”), except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

Class Action Waiver: You agree that any arbitration or legal proceeding will be conducted only on an individual basis and not as a class action, collective action, or representative proceeding.

EU/UK Users: If you are located in the European Union or United Kingdom, you may have the right to bring a claim before your local courts or supervisory authority in accordance with applicable law.

18. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wiretap regarding the Service and supersede all prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to do so in the future.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. We are not liable for failures or delays caused by circumstances beyond our reasonable control.
